1. Acceptance of Terms

By accessing or using UmamiEngine ("the Service"), you agree to be bound by these Terms of Use. If you do not agree, you may not use the Service. These terms apply to all visitors, users, and customers of UmamiEngine.

2. Description of Service

UmamiEngine provides managed hosting of Umami analytics software. We provision and maintain Umami instances on behalf of our customers, handling infrastructure, updates, backups, and maintenance. The underlying Umami software is open-source and licensed separately under the MIT License.

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activity under your account. You must notify us immediately of any unauthorized use.

4. Subscriptions and Billing

Service is provided on a subscription basis. Fees are billed in advance on a monthly or annual basis as selected. All fees are non-refundable except as expressly stated in our refund policy. We may change fees with 30 days' notice. Continued use after a fee change constitutes acceptance of the new fees.

4.1 Free Trial

We may offer free trials. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.2 Cancellation

You may cancel your subscription at any time from your dashboard. Upon cancellation, access to your Umami instance will continue until the end of the current billing period. No prorated refunds are provided for partial months.

5. Acceptable Fair Use

You agree not to use the Service for any unlawful purpose or in violation of any applicable laws or regulations. Prohibited activities include, but are not limited to:

  • Tracking or collecting data from children under 16 without appropriate consent
  • Distributing malware, viruses, or other harmful code
  • Attempting to breach or circumvent our security measures
  • Using the Service to infringe upon the intellectual property rights of others
  • Excessive API usage that degrades service for other customers (subject to fair usage policy)

You also agree to use the shared resources of the service in a fair manner that doesn't degrade the experience for other users.

6. Data Privacy and Analytics Data

Your analytics data belongs to you. We do not access, sell, or use your analytics data for any purpose other than providing and maintaining the Service. All analytics data is stored in your dedicated Umami instance database. Our collection of personal data related to your account is governed by our Privacy Policy.

7. Service Level and Availability

We strive to maintain high availability but do not guarantee 100% uptime. We reserve the right to perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures, network outages, or force majeure events.

8. Intellectual Property

The UmamiEngine name, logo, and brand assets are our intellectual property. The Umami software is open-source and owned by its respective maintainers. You may not use our branding without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by law, UmamiEngine shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim shall not exceed the amount you have paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service for violation of these terms, non-payment, or conduct that we reasonably believe could harm the Service or other users. We will provide notice when practicable. Upon termination, your data will be deleted within 30 days unless required otherwise by law.

11. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes take effect constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of Germany. Any disputes shall be resolved in the courts of Berlin, Germany.
